2. Purpose and scope

These terms govern the supply of the online service Solvenda at https://solvenda.fr.

The Service watches a portfolio of French company registration numbers and reports three families of events from public sources: BODACC notices, gender-equality index publication, and collective agreements reaching their term.

The Service is reserved for professionals acting for the purposes of their business. It is not intended for consumers.

Subscribing implies full acceptance of these terms, which prevail over any purchase terms of the Client.

3. The Service, and what it does not guarantee

The Provider undertakes a best-efforts obligation. The Service relies on public or third-party data whose accuracy and availability are outside the Provider's control. No commercial, financial or legal outcome is guaranteed, and the Service is not legal or tax advice.

4. Ordering

Subscription is made online. Payment confirmation forms the contract, and a confirmation email is sent.

5. Prices

Prices are in euros, excluding tax. VAT at the applicable rate is added; the reverse charge applies to valid EU VAT-registered business customers in other member states.

Prices may change; a new price applies to an existing subscription only from its next renewal, after thirty days' notice, and the Client may terminate free of charge before then.

6. Payment

Payment is by card through Stripe Payments Europe Ltd. Card numbers are never accessible to the Provider. Subscriptions renew automatically until terminated.

Late payment triggers interest at the ECB refinancing rate plus ten percentage points and a fixed recovery fee of forty euros, as required by French commercial law.

If payment fails and a reminder goes unanswered for seven days, access may be suspended without releasing the Client from sums due.

7. Term, renewal and termination

The subscription renews for identical periods unless terminated before the renewal date. Termination takes effect at the end of the current period.

The Provider may terminate after fifteen days' unremedied notice in case of breach, fraudulent use, mass extraction, unauthorised resale or non-payment.

After termination the Client has thirty days to export data, after which it is deleted subject to legal retention.

8. Withdrawal

The fourteen-day withdrawal right does not apply to business-to-business contracts, save the narrow case of article L.221-3 of the French Consumer Code.

9. Client obligations

The Client is responsible for credential confidentiality, must not circumvent plan limits, must not substantially extract or re-use the Service databases, and must not resell access without written agreement.

Where the Client uses the Service to process personal data, the Client is the controller and must have a lawful basis and comply with French prospecting rules in force since 11 August 2026.

10. Availability

The Provider uses reasonable efforts to keep the Service available, and may interrupt it for maintenance. No service level is guaranteed absent a separate written commitment.

11. Liability

Liability is limited to proven fault and direct damage, capped at the amount paid over the preceding twelve months. Indirect damage is excluded.

These limitations do not apply in cases of wilful misconduct, gross negligence, personal injury, or where the law forbids them.

12. Intellectual property

The Service and its databases remain the exclusive property of INEYA Studio. Subscribing grants a personal, non-exclusive, non-transferable right of use for the term. Client data remains the Client's.

13. Personal data

Personal-data processing is described in the privacy policy. Processors used: Stripe Payments Europe Ltd (paiement), OVH SAS (hébergement).

14. Force majeure

Neither party is liable for failures caused by events beyond reasonable control, including telecom outages, prolonged hosting or public-data-source unavailability, or acts of authority.

15. Changes

Terms may change with thirty days' notice for existing subscriptions; the Client may terminate free of charge before the change takes effect.

16. Governing law and disputes

French law applies. Disputes fall under the exclusive jurisdiction of the Paris Commercial Court.

If any provision is held invalid, the remainder stays in force.
